CELOS Annual general meeting 2024

May 20, 2025, from 12.30 to 3 p.m. at 255 Glenlake Ave. Apt. 303, Toronto.

Proper notice was given to the members, all of whom are directors.

Present: board members Jane Price (president), Lily Weston, Mary Jane Young, Lea Ambros (treasurer). Also: Mayssan Shuja Uddin (admin assistant) and Jutta Mason (administrator).

1. The 2023 AGM minutes and financial statement were presented. Motion to accept: Lea Ambros. Seconded: Jane Price. Approved.

2. Mayssan Shuja Uddin read out the 2024 financial statement. Motion to accept: Jane Price. Seconded: Lea Ambros. Approved.

3. Elections: Mary Jane Young resigned. Jane Price stands as president again, Lea Ambros as treasurer. Lily Weston is secretary. Motion to confirm this: Lea Ambros. Seconded: Lily Weston. Approved.

4. Mary Jane Young agreed to become an advisor, as long as it’s informal. But she wants to receive all board notices. Agreed.

5. Jutta reported on the main activities of 2024, i.e. to try to interest city rec management in setting up several other rink buildings as rink clubhouses (since Dufferin Grove is no longer a clubhouse), with the help of Elizabeth Antczac. Ended up focusing on Scadding Rink. Unsuccessful. Also contracted Elizabeth to draw up plans for repairing the cob kitchen, with the help of her architecture friend Izzy Mink. Parks management rejected that proposal too. Jutta read an email from encampment resident Sem, proposing that 137 Havelock be set up as a co-op run by the current campers living at Dufferin Grove. There was some discussion of co-ops, and Jutta said she’ll report back on what steps the campers may take.

6. The future of celos as a charity: Jane Price explained that directors’ insurance only shields a charity if the charity’s work is defensible (carried out carefully and with due diligence). Jane said she is on the board because she trusts everyone who is part of Celos, but that if new people come, the situation will change, and trust will not be there to the same degree.

Options considered:

A. hand over the charity to another group. Existing directors all resign and a new board is elected. The name and the objects stay the same, but the address changes.

B. Shut the charity down.

C. Keep Celos doing minimal projects, with a very low profile as at present, until we find a bigger project that we want to do, possibly partnering with others. In that case, a paid administrator will have to be found and there will have to be insurance.

Decision (by consensus): postpone making any changes until after June 3, when Jutta, Jane, and Mayssan will be going to a bake oven gathering at Sorauren Park, meeting some potential partners there. Then Celos meets again to consider the structure for the rest of 2025.
